In order to allow the Undersigned to evaluate a possible purchase, merger, joint venture, financing, or other business agreement or arrangement, Rochester Commercial Real Estate Co., Inc. proposes to furnish Confidential Proprietary Information to the Undersigned Principal regarding the following real estate property.

Description of Property

Nondisclosure and Confidentiality Agreement
The Undersigned understands and agrees that any information with respect to the property furnished to the Undersigned is highly sensitive and strictly confidential, and shall be maintained by the Undersigned with the utmost confidence. The Undersigned understands that all such information is being furnished solely in property as a Principal/Agent/Broker and that the Broker/Agent and every Principal must sign this agreement. The Undersigned agrees that such information about the property obtained by it or any of its employees, Officers, agents, attorneys, directors, stockholders, financial institutions or representatives shall remain strictly confidential and shall not be disclosed or revealed to outside sources or made use of for personal or corporate gain in any manner inconsistent with this agreement. If the Undersigned wishes to obtain more information concerning the subject property or meet with the Seller/Owner, the request will be made through Rochester Commercial Real Estate Co., Inc. at the address hereunder. If the Undersigned wishes to make an offer to purchase/lease or a Letter of Intent to purchase/lease the subject property or any portion thereof, the offer will be made only through Rochester Commercial Real Estate Co., Inc. at the address hereunder. Rochester Commercial Real Estate Co., Inc. makes no representations or warranty as to the accuracy or validity of the information furnished with respect to the subject property. Any and all representations shall be made solely by the Seller. Upon a lack of continuing interest, or upon a request from Rochester Commercial Real Estate Co., Inc. the Undersigned promises to return within ten (10) days to Rochester Commercial Real Estate Co., Inc. at the address below, all information and material supplied in connection with the property and to not retain any copies in whole or part. This agreement shall be governed by and construed in accordance with the laws of the State of New York. An electronic transmission of a signature to this agreement shall be legal and binding on the Undersigned.
